Welcome to FF&E Marketplace (the "Platform," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, mobile application, and services (collectively, the "Services"). By creating an account, listing items, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

  • Be at least 18 years old (or the age of majority in your state).
  • Be a resident of the United States.
  • Have the legal capacity to enter into a binding contract.
  • Not be barred from using the Services under applicable U.S. laws.

If you use the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Your account

To list or purchase items, you must create an account. You agree to provide accurate, current, and complete information; keep your login credentials confidential; notify us immediately of any unauthorized use; and be responsible for all activity under your account. We may suspend or terminate accounts that violate these Terms or that we suspect of fraud.

3. The Platform's role

FF&E Marketplace is a venue that connects buyers and sellers and provides escrow to help transactions complete safely. Except for the escrow and support services we expressly provide, we are not a party to transactions between users. We do not own or take possession of listed items, and we do not guarantee the quality, safety, legality, or accuracy of any listing.

4. Listings and selling rules

If you list an item for sale, you agree that:

  • You own the item or have the right to sell it.
  • Your listing is accurate and honest, including condition, dimensions, and any defects.
  • The item does not violate any law or the prohibited-items list below.
  • You will honor the price and description in your listing.
  • You are responsible for reporting and paying any taxes on your sales.

We reserve the right to remove any listing at our discretion.

5. Prohibited items and conduct

You may not list, sell, or use the Services in connection with:

  • Illegal drugs, drug paraphernalia, or prescription medications.
  • Weapons, firearms, ammunition, or explosives.
  • Stolen goods or counterfeit items.
  • Alcohol, tobacco, or vaping products, unless permitted by law and properly licensed.
  • Recalled or hazardous products.
  • Any item that infringes intellectual-property rights.
  • Any item that violates federal, state, or local law.

You also agree not to harass, threaten, or abuse other users; use the Services for spam, scams, or fraud; share contact details to move a deal off-platform in order to evade fees or escrow; scrape, copy, or reverse-engineer the Platform; bypass security or authentication measures; or impersonate another person or entity.

6. Transactions, delivery & safety

When arranging shipping or local pickup, follow the delivery details agreed in-app and keep communication on the Platform so escrow and support can help if something goes wrong. For any in-person pickup, choose a safe, public location, and trust your instincts. FF&E Marketplace is not responsible for the actions of users during pickups, deliveries, or any resulting harm.

7. Purchases, escrow & fees

Payments are held in escrow and released to the seller only after the buyer confirms delivery. Buyers should inspect items promptly and raise any issues before confirming. Basic use of the Platform is free, but we may charge fees for promoted or featured listings, shipping-based transactions, payment processing, and optional premium features. All applicable fees are disclosed before you incur them and are non-refundable unless required by law.

8. Intellectual property

All content on the Platform — including logos, design, code, and trademarks — is owned by FF&E Marketplace or its licensors and protected by U.S. copyright and trademark law. By posting content (photos, descriptions, reviews), you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, display, reproduce, and distribute that content in connection with operating and promoting the Services. You represent that you own or have the rights to any content you post.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any listing is accurate or reliable.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FF&E MARKETPLACE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. Our total liability for any claim shall not exceed the greater of the fees you paid us in the six months before the claim or one hundred U.S. dollars ($100.00).

11. Indemnification

You agree to defend, indemnify, and hold harmless FF&E Marketplace from any claims, damages, losses, or expenses (including attorneys' fees) arising from your use of the Services, your listings, your transactions with other users, or your violation of these Terms.

12. Dispute resolution and arbitration

Please read this section carefully — it affects your legal rights. Any dispute arising out of or related to these Terms or the Services will be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You and FF&E Marketplace each waive the right to a trial by jury and to participate in a class action or class arbitration. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing support@ffetrader.com.

13. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any non-arbitrable dispute will be brought exclusively in the state or federal courts located in New Castle County, Delaware.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Services will immediately cease.

15. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Platform. Your continued use after changes take effect constitutes acceptance of the updated Terms.
